1. Agreement to Terms

By accessing or using the Niuro platform and services ("Services"), operated by Niuro SpA ("Niuro", "we", "us", or "our"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not access or use the Services.

2. Description of Services

Niuro provides a platform connecting businesses with talent across the Americas. Our services include talent matching, vetting, and preliminary compliance checks. We act as a facilitator between companies seeking talent and professionals offering their services.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using Niuro, you represent and warrant that you meet these requirements.

4. User Accounts

• You may create an account using email or through third-party authentication providers such as Google OAuth.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate, complete, and current information. Inaccurate or misleading information may result in account termination.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws.
• Provide false or misleading information in your profile or communications.
• Interfere with or disrupt the Services or servers connected to the platform.
• Attempt to gain unauthorized access to any part of the Services.
• Use the platform to harvest or collect information about other users without consent.
• Circumvent the platform to engage directly with matched parties outside of Niuro's Services where such engagement was facilitated by Niuro.

6. Intellectual Property

The Services and all original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Niuro SpA. Our trademarks, trade names, and branding may not be used without our prior written consent.

7. User Content

You retain ownership of content you submit to the platform (resumes, profiles, descriptions). By submitting content, you grant Niuro a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content solely for the purpose of providing and improving our Services.

8. Third-Party Services

Our Services may integrate with or contain links to third-party services (e.g., Google OAuth for authentication). We are not responsible for the content, privacy policies, or practices of third-party services. Your use of such services is governed by their respective terms.

9. Fees and Payment

Certain features of the Services may require payment. Fees, billing cycles, and payment terms will be communicated to you before you incur any charges. All fees are non-refundable unless otherwise stated.

10. Termination

We may terminate or suspend your account at our sole discretion, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason. You may terminate your account at any time by contacting us.

11. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Niuro does not guarantee the accuracy, completeness, or reliability of any content on the platform, including talent profiles and company listings.

12. Limitation of Liability

In no event shall Niuro SpA, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Services.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising from these Terms will be resolved through good-faith negotiation, and if necessary, binding arbitration.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Services after changes constitutes acceptance of the revised Terms.
